MonitorSpend Terms of Service

These terms are an agreement between Doxa Holdings, LLC, a Kansas limited liability company, which operates MonitorSpend ("MonitorSpend", "we") and the company that creates a MonitorSpend account ("Customer", "you"). The person who creates the account confirms they may accept these terms for the company.

1. The service

MonitorSpend checks a company's card and bank transactions against the company's own travel and expense policy, collects receipts and explanations, and routes expense reports for approval. MonitorSpend reads transactions; it never moves money. MonitorSpend is for businesses, not for personal or household use.

2. Free trial

Each new company gets 15 days free. No card is needed. If you don't subscribe by the end of the trial, your account stays available to read and export, but nothing new can be added or approved until you subscribe.

3. Subscription and payment

• The price is shown on www.monitorspend.com and in the app: currently $12 per person per month, or $132 per person per year when billed yearly, counting the people in your MonitorSpend directory who haven't left.
• You are billed in advance through Stripe, monthly or yearly as you choose. When the number of people changes, the charge changes accordingly, prorated by Stripe; with yearly billing, people added are invoiced right away for the rest of the year.
• Prices exclude taxes; you pay any taxes that apply.
• We may change prices with at least 30 days' notice by email; the new price applies from your next billing period.
• You can cancel any time from Billing in the app. Cancelling takes effect at the end of the paid period; we don't refund partial periods, except where the law requires it.

4. Your responsibilities

• Your policies, approval decisions and what you do with MonitorSpend's findings are yours. MonitorSpend flags and explains; people decide.
• You are responsible for giving employees the notices the law requires for monitoring company cards (MonitorSpend provides a notice for employees to acknowledge) and for having the right to connect the accounts you connect.
• Keep sign-in devices and passkeys secure; tell us promptly of any unauthorized use at [email protected].
• Don't misuse the service: no unlawful use, no attempts to break its security or reach other customers' data, no reselling without our written agreement.

5. Your data

• Your data stays yours. We process it only to provide the service, as described in our Privacy Policy and, for personal data about your employees, as your processor.
• You can export your data at any time. After an account is closed, we delete or return it within 90 days, except records we must keep by law.

6. Third-party services

The service uses third parties, such as Plaid (bank connections), Stripe (payments) and Amazon Web Services (encryption keys and AI reading of documents and receipts). Their terms apply to your use of their parts.

7. Availability and changes

We work to keep MonitorSpend available and secure but don't promise it will be uninterrupted or error-free. We may improve or change features; we'll tell you in advance of changes that materially reduce what you're paying for.

8. Warranties and liability

• The service is provided "as is". To the extent the law allows, we disclaim implied warranties, including merchantability and fitness for a particular purpose.
• Neither party is liable for indirect, incidental, special or consequential damages, or lost profits.
• Each party's total liability is limited to the amounts you paid us in the 12 months before the claim. These limits don't apply to a party's fraud or willful misconduct.

9. Ending the agreement

You may stop at any time by cancelling. We may suspend or end an account that breaks these terms or doesn't pay, after notice where reasonable.

10. General

These terms are governed by the laws of the State of Kansas, and disputes go to the state or federal courts in Johnson County, Kansas. If a part of these terms can't be enforced, the rest still applies. These terms, the Privacy Policy and any order form are the whole agreement.
